These Terms & Conditions apply to all goods and services supplied by Nordikota Print & Embroidery, a partnership operated by Nigel Spicer and Sandra Spicer ("Nordikota", "we", "us" or "our").

By placing an order with us, you ("the customer", "you" or "your") agree to these Terms & Conditions. If you are a consumer, nothing in these Terms & Conditions affects your statutory rights.

1. About Nordikota

1.1 Nordikota Print & Embroidery is a partnership operated by Nigel Spicer and Sandra Spicer, providing custom printed, embroidered and personalised clothing, workwear, promotional garments and merchandise.

1.2 Our services may include:

1.3 The legal contracting party for orders placed with Nordikota is Nordikota Print & Embroidery, a partnership operated by Nigel Spicer and Sandra Spicer.

2. Definitions

For these Terms & Conditions:

"Consumer" means an individual acting wholly or mainly outside their trade, business, craft or profession.

"Business Customer" means a customer purchasing goods or services wholly or mainly for business, trade, professional or organisational purposes.

"Goods" means garments, merchandise and other physical products supplied by Nordikota.

"Services" means printing, embroidery, artwork, design, personalisation and other services supplied by Nordikota.

"Personalised Goods" means goods made to your specifications or clearly personalised for you, including garments featuring names, logos, photographs, artwork, wording, colours, numbers or other bespoke elements.

"Order" means your request to purchase goods or services from us.

3. Orders and Contract Formation

3.1 An order is a request by you to purchase the specified goods or services.

3.2 For website orders, an acknowledgement of your order does not necessarily mean that we have accepted the order. A contract is formed when we confirm acceptance of your order or begin processing the order, whichever occurs first.

3.3 For quotations and orders placed directly with Nordikota, the contract is formed when you accept our quotation or otherwise confirm that you wish us to proceed, subject to these Terms & Conditions.

3.4 We reserve the right to decline an order where we reasonably consider that we cannot fulfil it, including where:

3.5 If we are unable to accept an order after payment has been made, we will refund any amount paid for the affected order.

3.6 Once an order has been accepted and production or preparation has commenced, cancellation or amendment may not be possible.

4. Quotations and Prices

4.1 Quotations are normally valid for the period stated on the quotation.

4.2 A quotation is based on the quantities, garments, sizes, colours, print requirements and artwork information available to us when the quotation is prepared.

4.3 Prices may change if you subsequently change the requirements of the order, including quantities, garment types, sizes, colours, artwork, print areas or finishing requirements.

4.4 Where a requested change results in an additional charge, we will advise you of the revised price before proceeding where reasonably practicable.

4.5 Unless otherwise stated, delivery and any additional services not specifically included in the quotation may be charged separately.

4.6 We take reasonable care to ensure that prices displayed or quoted are accurate. If a genuine pricing error occurs, we will contact you before proceeding where the error is material.

5. Artwork and Customer Approval

5.1 Where Nordikota prepares artwork, we may provide a digital proof for approval before production.

5.2 You are responsible for carefully checking the proof before approving it.

5.3 Approval confirms that you have checked, where applicable:

5.4 Once artwork has been approved and production has commenced, changes may not be possible.

5.5 Where a customer-approved error is subsequently identified, including spelling, names, dates, numbers, artwork, colours or positioning, Nordikota will not normally be responsible for the cost of correcting or reproducing the goods.

5.6 This does not affect any statutory rights that cannot legally be excluded.

6. Customer-Supplied Artwork and Intellectual Property

6.1 If you provide artwork, logos, photographs, designs, text or other material, you confirm that you have the necessary rights and permissions to use that material and instruct us to reproduce it.

6.2 You authorise Nordikota to reproduce such material solely for the purpose of fulfilling your order.

6.3 You remain responsible for obtaining any permissions, licences or consents required to use material supplied by you.

6.4 Nordikota may refuse to reproduce material where we reasonably believe that doing so could infringe intellectual property rights, be unlawful or otherwise expose us to unreasonable risk.

6.5 Unless otherwise agreed in writing, artwork, layouts, designs and other creative work created by Nordikota remain our intellectual property.

6.6 You may not reproduce, distribute, sell or commercially exploit artwork created by Nordikota without our permission unless the relevant rights have expressly been transferred to you in writing.

7. Garments, Products and Sizes

7.1 We use garments and products supplied by established manufacturers and distributors.

7.2 Product specifications, colours, fabric compositions and availability may change from time to time.

7.3 Where a particular garment becomes unavailable after an order has been placed, we will contact you where a suitable alternative is required.

7.4 Garment sizing can vary between manufacturers, styles and products.

7.5 Where sizing information is available, you should check it carefully before ordering.

7.6 The customer is responsible for selecting the correct garment size.

7.7 An incorrect size selected or ordered by the customer is not considered a fault with the garment and will not normally qualify for a refund, replacement or re-production.

7.8 Where Nordikota has supplied the wrong size contrary to the confirmed order, we will investigate the matter and provide an appropriate remedy where we are responsible.

8. Printing and Embroidery

8.1 Printing and embroidery are manufacturing processes and reasonable variations can occur.

8.2 Minor variations in colour, texture, positioning, thread appearance, print appearance or finish may occur between a digital representation and the finished product.

8.3 Screen displays, monitors and mobile devices can display colours differently from physical garments and printed materials.

8.4 Embroidery can vary slightly depending on the garment fabric, garment construction, thread, design size and stitch characteristics.

8.5 Print appearance can vary depending on the garment fabric, garment colour, print method and other production factors.

8.6 Reasonable production variations will not normally constitute a defect where the goods remain materially consistent with the agreed order.

8.7 This section does not limit any statutory rights that apply to consumers.

9. Customer-Supplied Garments

9.1 Nordikota does not offer printing, embroidery, personalisation or other production services on garments or other physical items supplied by customers.

9.2 All garments and other physical items used for our printing, embroidery or personalisation services must therefore be supplied or sourced by Nordikota as part of the order.

9.3 Customer-owned garments or other physical items will not be accepted for production.

10. Personalised and Bespoke Goods

10.1 Many goods supplied by Nordikota are made specifically to your requirements.

10.2 Personalised Goods may include garments featuring:

10.3 Where permitted by law, consumers do not have the usual 14-day cancellation right for goods made to their specifications or clearly personalised.

10.4 Because Personalised Goods are produced specifically for the customer, Nordikota does not accept returns or provide refunds because a customer has changed their mind, no longer requires the goods, or has ordered an unsuitable size, except where a statutory right requires otherwise.

10.5 This does not affect a consumer's statutory rights where goods are faulty, not as described, not of satisfactory quality or otherwise fail to comply with the contract.

11. Refunds, Replacements and Faulty Goods

11.1 Nordikota does not operate a general refund or exchange policy for unwanted, incorrectly ordered or unsuitable goods.

11.2 Refunds, replacements or other remedies will only be provided where Nordikota is legally required to provide them or where we expressly agree otherwise.

11.3 This includes situations where goods are genuinely defective, supplied incorrectly by Nordikota, materially different from the agreed order, or otherwise fail to comply with the contract.

11.4 A manufacturing fault originating with the garment manufacturer may qualify for a replacement or other appropriate remedy, subject to inspection and the applicable legal rights.

11.5 A fault caused by printing, embroidery, personalisation or other workmanship carried out by Nordikota may also qualify for an appropriate remedy where required by law.

11.6 The fact that a garment has subsequently been washed, worn, altered, damaged, misused or otherwise treated in a manner inconsistent with its intended use may affect whether an alleged fault is attributable to Nordikota or the manufacturer.

11.7 Where a customer believes that goods are faulty or incorrect, they should contact Nordikota as soon as reasonably practicable and provide details of the issue.

11.8 We may request photographs or ask for the goods to be returned for inspection before determining the appropriate remedy.

11.9 Where goods are confirmed to be defective or otherwise fail to comply with the contract, Nordikota will provide the remedy required by applicable law.

11.10 Nothing in these Terms & Conditions excludes or restricts statutory consumer rights.

12. Customer Errors

12.1 The customer is responsible for checking all information supplied to Nordikota before production.

12.2 This includes, but is not limited to:

12.3 Where the customer has supplied incorrect information or approved artwork containing an error, Nordikota will not normally be responsible for the cost of correcting or reproducing the goods.

12.4 Where Nordikota has made an error contrary to the information supplied or artwork approved by the customer, we will investigate the matter and provide an appropriate remedy where required.

13. Cancellation

13.1 Once production or preparation of an order has commenced, cancellation may not be possible.

13.2 For Personalised Goods, the statutory cancellation right does not generally apply where the goods fall within the legal exception for goods made to the consumer's specifications or clearly personalised.

13.3 Where cancellation is legally permitted, the applicable statutory cancellation rights will apply.

13.4 Nothing in this section removes any consumer right that cannot legally be excluded.

14. Consumer Cancellation Rights

14.1 Where a consumer purchases non-personalised goods online or through another distance-selling method, the consumer may have a statutory right to cancel within the applicable cancellation period, subject to the legal exceptions.

14.2 The cancellation period and procedure will be dealt with in accordance with applicable consumer legislation.

14.3 The statutory cancellation right does not generally apply to goods made to the consumer's specifications or clearly personalised.

14.4 Where a statutory cancellation right applies, nothing in these Terms & Conditions is intended to restrict that right.

15. Delivery

15.1 We will provide an estimated delivery timeframe where applicable.

15.2 Delivery dates and times are estimates unless a specific delivery date or deadline has expressly been agreed.

15.3 We will make reasonable efforts to meet estimated delivery dates but cannot guarantee a particular delivery date unless expressly agreed.

15.4 Delays may occur because of circumstances outside our reasonable control, including courier delays, supplier delays, equipment failure, shortages, severe weather, transport disruption or other events outside our reasonable control.

15.5 If delivery is delayed, we will provide reasonable updates where we become aware of a material delay.

15.6 If you provide an incorrect delivery address and the goods need to be re-sent, additional delivery charges may apply.

15.7 Nothing in this section limits any statutory rights available to consumers.

16. Delivery Inspection

16.1 Customers should inspect their order as soon as reasonably practicable after delivery.

16.2 Business Customers should notify us promptly of any apparent shortage, damage or incorrect goods.

16.3 Nothing in this section removes any statutory rights available to consumers.

17. Payment

17.1 Payment must be made in accordance with the payment terms stated on the quotation, invoice or website.

17.2 Unless otherwise agreed in writing, Nordikota may require payment in full before production begins.

17.3 Where a Business Customer has been granted credit terms, invoices must be paid within the agreed payment period.

17.4 We may suspend further work or withhold dispatch of goods where payment is overdue, subject to applicable law and the terms of the contract.

17.5 Where an invoice remains unpaid, we reserve the right to recover the debt and any legally recoverable interest and costs.

18. Late Payment by Business Customers

18.1 Where applicable to a Business Customer, Nordikota may claim statutory interest under applicable late-payment legislation.

18.2 Where applicable, Nordikota may also seek any statutory compensation and reasonable debt recovery costs available under law.

18.3 Any contractual interest rate agreed with a Business Customer will be stated separately in the relevant quotation, invoice or credit agreement.

19. Customer Responsibilities

19.1 You are responsible for providing accurate information required to fulfil your order.

19.2 This includes, where applicable:

19.3 We are not responsible for errors in an order caused by inaccurate information supplied by you, provided we have followed the information you supplied.

19.4 You should check your order confirmation and artwork proof carefully and notify us promptly if anything is incorrect.

20. Artwork Storage

20.1 We may retain artwork, embroidery files and production information relating to previous orders so that repeat orders can be processed efficiently.

20.2 We will handle personal data in accordance with applicable data protection legislation and our Privacy Policy.

20.3 We cannot guarantee permanent retention of customer artwork or production files. Customers should retain copies of important original artwork themselves.

21. Photography and Marketing

21.1 Nordikota may photograph completed products for use in our portfolio, website, social media or marketing materials.

21.2 Where a product contains a customer's branding or other identifiable material, we will take reasonable steps to avoid disclosing confidential information.

21.3 If you do not want an order to be photographed or used for marketing purposes, please tell us before production or at the time of ordering.

21.4 We will not knowingly use personal photographs or other personal material supplied for an order for marketing purposes where doing so would be inappropriate or contrary to the customer's reasonable expectations.

22. Events Outside Our Reasonable Control

22.1 Nordikota will not be responsible for failure or delay caused by circumstances outside our reasonable control.

22.2 Such circumstances may include:

22.3 We will take reasonable steps to minimise the effects of such circumstances and resume performance as soon as reasonably practicable.

22.4 This section does not remove any statutory rights available to consumers.

23. Liability

23.1 Nothing in these Terms & Conditions excludes or limits liability where doing so would be unlawful.

23.2 In particular, nothing in these Terms & Conditions excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or a consumer's statutory rights that cannot legally be excluded.

23.3 We do not accept responsibility for losses that result from information, artwork, specifications or instructions supplied incorrectly by the customer, except where the loss is caused by Nordikota's own breach of contract, negligence or other legal responsibility.

23.4 For Business Customers, and subject to applicable law, Nordikota will not be liable for indirect or consequential loss, loss of profit, loss of revenue, loss of business, loss of goodwill or loss of anticipated savings.

23.5 Nothing in this section is intended to impose an unfair limitation on a consumer's rights.

24. Intellectual Property Infringement

24.1 You confirm that you have permission to use any third-party artwork, trademarks, logos, photographs, designs, names or other protected material supplied to us.

24.2 You authorise Nordikota to reproduce such material solely for the purpose of fulfilling your order.

24.3 You remain responsible for obtaining any permissions, licences or consents required to use material supplied by you.

24.4 Nordikota reserves the right to refuse an order where we reasonably believe that the requested production would infringe another person's rights or breach the law.

25. Privacy and Data Protection

25.1 Nordikota processes personal information in accordance with applicable UK data protection legislation, including the UK General Data Protection Regulation and the Data Protection Act 2018, where applicable.

25.2 Our Privacy Policy explains how we collect, use, store and protect personal information and provides further information about your rights in relation to your personal data.

25.3 Our Privacy Policy is available here:

https://nordikota.co.uk/privacy-policy

25.4 By placing an order with Nordikota, you acknowledge that information about the processing of your personal data is available through our Privacy Policy. Personal data will be processed in accordance with applicable data protection legislation and the purposes explained in our Privacy Policy.

25.5 Our Privacy Policy provides information about our data processing practices but does not form part of these Terms & Conditions or alter the contractual rights and obligations established by them.

26. Complaints

26.1 We aim to resolve problems quickly and fairly.

26.2 If you have a complaint, please contact Nordikota using the contact details provided below.

26.3 Please provide your order number and a clear description of the issue wherever possible.

26.4 If the complaint concerns goods that you believe are faulty or not as described, please explain the problem clearly and provide photographs where appropriate.

26.5 We may request that goods are returned for inspection where this is reasonably necessary to determine the cause of an alleged fault.

26.6 We will investigate complaints and provide an appropriate response as soon as reasonably practicable.

27. Website Information

27.1 We take reasonable care to ensure that information on our website is accurate.

27.2 Product photographs are intended to provide a representation of the product. Actual garments may vary slightly in colour or appearance.

27.3 Product availability may change without notice.

27.4 Nothing on our website is intended to exclude or restrict statutory rights.

28. Changes to These Terms

28.1 We may update these Terms & Conditions from time to time.

28.2 The version applicable to an order will normally be the version in force when the contract is formed.

28.3 Changes to these Terms & Conditions will not retrospectively alter an existing contract unless legally permitted and agreed where required.

29. Severability

29.1 If any provision of these Terms & Conditions is found to be invalid, unlawful or unenforceable, that provision will be treated as modified or removed to the minimum extent necessary.

29.2 The remaining provisions will continue to apply.

30. No Waiver

30.1 If Nordikota does not immediately enforce a provision of these Terms & Conditions, this does not mean that we have waived our right to enforce that provision later.

31. Entire Agreement

31.1 These Terms & Conditions, together with the applicable quotation, order confirmation, agreed artwork and any other documents expressly incorporated into the contract, form the agreement between Nordikota and the customer in relation to the relevant order.

31.2 If there is a conflict between these Terms & Conditions and a specific written term agreed for an order, the specific agreed term will take precedence to the extent of the conflict.

32. Consumer Rights

32.1 If you are a consumer, nothing in these Terms & Conditions affects your statutory rights.

32.2 Consumer goods must comply with applicable statutory requirements, including requirements relating to description, satisfactory quality and fitness for purpose.

32.3 Where consumer law gives you a right or remedy that cannot legally be excluded or restricted, that right or remedy remains available to you.

32.4 Where these Terms & Conditions provide you with additional rights beyond your statutory rights, those additional rights are intended to operate alongside your statutory rights.

33. Business Customers

33.1 Where you purchase goods or services wholly or mainly for business purposes, you are a Business Customer.

33.2 Certain consumer-specific rights and protections do not apply to Business Customers.

33.3 Business Customers are responsible for checking their order requirements, including quantities, garment types, sizes, colours and artwork, before production is approved.

33.4 Nothing in these Terms & Conditions is intended to exclude any liability or obligation that cannot legally be excluded or restricted in a business-to-business contract.

34. Governing Law and Jurisdiction

34.1 These Terms & Conditions and any contract between Nordikota and the customer are governed by the law of England and Wales.

34.2 Subject to any mandatory rights applicable to consumers, the courts of England and Wales will have jurisdiction over disputes arising from or relating to these Terms & Conditions or a contract with Nordikota.
